Growthmesh provides AI-enabled services, automation, consulting, software, workflow design, integrations, and related business technology services.

2. Eligibility

By using the Services, you confirm that:

• You are at least 18 years old or the age of majority in your jurisdiction.
• You have legal authority to enter into these Terms.
• If using the Services on behalf of a company or organisation, you are authorised to bind that organisation.
• You are not prohibited from using the Services under applicable law.

3. Artificial Intelligence Disclaimer

Some Growthmesh Services may use artificial intelligence, machine learning, automation, or third-party AI systems.

You acknowledge that:

• AI-generated outputs may be inaccurate, incomplete, misleading, biased, or unsuitable for your circumstances.
• AI systems are probabilistic and may produce different outputs from similar inputs.
• Outputs should not be treated as professional, legal, financial, medical, tax, or compliance advice unless expressly agreed in writing.
• You are responsible for reviewing, validating, and approving any output before relying on it.
• You remain responsible for decisions, actions, or omissions based on use of the Services.

Growthmesh does not guarantee that any AI-generated or automated output will be accurate, lawful, complete, original, or suitable for any specific purpose.

4. Access and Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for lawful business or personal purposes.

You agree not to:

• Use the Services for unlawful, harmful, fraudulent, abusive, or deceptive purposes.
• Interfere with or disrupt the Services.
• Attempt to gain unauthorised access to systems, accounts, data, or infrastructure.
• Reverse engineer, copy, scrape, crawl, or extract data from the Services except where permitted by law.
• Upload viruses, malware, or harmful code.
• Impersonate another person or organisation.
• Use the Services to infringe third-party intellectual property, privacy, or contractual rights.
• Use the Services to generate or distribute unlawful, defamatory, discriminatory, obscene, or harmful content.
• Circumvent usage limits, security measures, or access controls.

We may suspend or terminate access if we believe you have breached these Terms.

5. Accounts

Some Services may require an account.

You agree to provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your login details and for all activity under your account.

You must notify us promptly at hello@growthmesh.ai if you suspect unauthorised access or misuse of your account.

6. Orders, Fees, and Payment

Some Services may be provided for a fee.

Fees, billing terms, deliverables, and payment schedules may be set out in an order form, proposal, statement of work, subscription plan, invoice, or separate agreement.

Unless otherwise stated:

• Fees are payable in the currency specified at purchase or invoice.
• Fees are exclusive of applicable taxes unless expressly stated.
• You are responsible for any applicable VAT, sales tax, withholding tax, or similar charges.
• Payments are non-refundable except where required by law or expressly agreed in writing.

We may use third-party payment processors. Payment processing will be subject to the terms and privacy policies of those providers.

7. Subscriptions and Renewals

Where Services are provided on a subscription or recurring basis:

• Your subscription may renew automatically unless cancelled before the renewal date.
• You authorise us or our payment processor to charge applicable fees for each renewal period.
• You may cancel renewal by contacting us at hello@growthmesh.ai or through any available account settings.
• Cancellation does not usually entitle you to a refund for the current billing period unless required by law or agreed in writing.

We may change subscription fees by giving reasonable notice before the change takes effect.

8. Refunds

Except where required by applicable law, payments for Services, subscriptions, retainers, credits, consulting work, or digital products are final and non-refundable once access has been provided or work has commenced.

We may consider refund requests at our discretion. Any approved refund may be partial and may exclude taxes, transaction fees, discounts, or work already performed.

9. User Content and Inputs

You may provide information, data, documents, prompts, files, instructions, or other materials to the Services ("Input").

You represent and warrant that:

• You own or have the necessary rights to provide the Input.
• Your Input does not infringe any third-party rights.
• Your Input complies with applicable law.
• You have obtained any required consents for personal data included in the Input.

You are solely responsible for the accuracy, legality, and appropriateness of your Input.

10. Outputs

The Services may generate, produce, transform, or assist with content, recommendations, workflows, documents, code, automations, analysis, or other materials ("Output").

As between you and Growthmesh, and subject to applicable law and third-party rights, you may use Output for your own lawful purposes.

You acknowledge that:

• Output may not be unique.
• Similar or identical output may be generated for other users.
• Output may require human review.
• Output may contain errors or omissions.
• Growthmesh does not guarantee that Output is suitable for any particular use.

You are responsible for reviewing Output before publishing, relying on, or implementing it.

11. Licence to Use Content

You grant Growthmesh a non-exclusive, worldwide, royalty-free licence to use, host, process, transmit, reproduce, and display your Input and Output solely as necessary to:

• Provide the Services.
• Maintain and improve the Services.
• Troubleshoot issues.
• Monitor security and compliance.
• Fulfil contractual obligations.
• Comply with applicable law.

Where your Input contains personal data, we process it in accordance with our Privacy Policy and any applicable data processing agreement.

12. Third-Party Services

Our Services may integrate with or link to third-party services, tools, platforms, applications, APIs, AI models, payment processors, hosting providers, analytics services, CRM systems, or automation platforms.

You acknowledge that:

• Third-party services are governed by their own terms and privacy policies.
• We are not responsible for third-party services.
• We do not control their availability, security, performance, accuracy, or data practices.
• Your use of third-party services is at your own risk.

Where you authorise an integration, you are responsible for ensuring you have the necessary rights and permissions to connect and process data through that third-party service.

13. Intellectual Property

Growthmesh and its licensors retain all rights, title, and interest in the Services, including software, designs, systems, workflows, methods, processes, documentation, branding, trademarks, and other intellectual property.

You may not use Growthmesh names, logos, trademarks, or branding without prior written permission.

Nothing in these Terms transfers ownership of Growthmesh intellectual property to you.

14. Feedback

If you provide ideas, suggestions, improvements, or feedback, you grant Growthmesh a worldwide, perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without restriction or compensation.

15. Confidentiality

Where we exchange confidential business, technical, commercial, or operational information, each party agrees to use reasonable care to protect that information and not disclose it except as required to provide the Services, comply with law, or with the other party's consent.

Confidentiality obligations do not apply to information that is publicly available, independently developed, already known, or lawfully received from another source.

16. Privacy

Our collection and use of personal data is described in our Privacy Policy.

By using the Services, you acknowledge that personal data may be processed in accordance with that policy.

17. Service Availability

We aim to provide reliable Services, but we do not guarantee uninterrupted, error-free, or secure availability.

18. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis.

Growthmesh disclaims all warranties, express or implied, including warranties of:

• Accuracy
• Reliability
• Availability
• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Suitability of AI-generated output

We do not guarantee that the Services or Output will meet your requirements or achieve any particular business, financial, technical, or operational result.

19. Limitation of Liability

To the fullest extent permitted by law, Growthmesh will not be liable for:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, business, goodwill, data, or anticipated savings.
• Service interruptions or technical failures.
• Third-party services or integrations.
• Decisions made in reliance on AI-generated or automated output.

To the fullest extent permitted by law, Growthmesh's total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the amount paid by you to Growthmesh for the relevant Services in the three months before the event giving rise to the claim.

Nothing in these Terms limits liability where it cannot legally be limited, including liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence.

20. Indemnity

You agree to indemnify and hold harmless Growthmesh, its directors, employees, contractors, affiliates, suppliers, and partners from and against claims, losses, liabilities, damages, costs, and expenses arising from:

• Your use of the Services.
• Your Input or Output.
• Your breach of these Terms.
• Your violation of applicable law.
• Your infringement of third-party rights.
• Your misuse of third-party services or integrations.

21. Termination

These Terms apply for as long as you use the Services.

We may suspend or terminate access to the Services if:

• You breach these Terms.
• Payment is overdue.
• We are required to do so by law.
• Your use creates risk for Growthmesh, other users, or third parties.
• We discontinue the relevant Service.

Upon termination, your right to use the Services ends immediately. Sections intended to survive termination will continue, including intellectual property, payment obligations, disclaimers, limitation of liability, indemnity, and governing law.

22. Governing Law

These Terms are governed by the laws of Portugal, without regard to conflict of law principles.

If you are a consumer in the European Union, you may also benefit from mandatory consumer protection laws in your country of residence.

23. Dispute Resolution

Before bringing a formal claim, you agree to first contact us at hello@growthmesh.ai and attempt to resolve the dispute informally.

If a dispute cannot be resolved informally, the courts of Portugal shall have jurisdiction, except where mandatory consumer protection laws provide otherwise.

24. Copyright and Intellectual Property Complaints

If you believe content available through the Services infringes your intellectual property rights, contact us at hello@growthmesh.ai with:

• Your name and contact details.
• A description of the protected work.
• A description of the allegedly infringing material.
• The location of the material.
• A statement that you believe in good faith that the use is unauthorised.
• A statement that the information you provide is accurate.
• Confirmation that you are the rights owner or authorised to act on their behalf.

We may remove or disable access to allegedly infringing material at our discretion.

25. Changes to These Terms

We may update these Terms from time to time.

When we do, we will update the "Last updated" date above. Where required by law or where changes are material, we may provide additional notice.

Your continued use of the Services after changes take effect means you accept the updated Terms.

26. General

• If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect.
• Failure to enforce any provision does not constitute a waiver.
• You may not assign these Terms without our prior written consent. We may assign or transfer these Terms as part of a merger, acquisition, restructuring, or sale of assets.
• These Terms, together with any applicable order form, proposal, statement of work, subscription terms, supplemental terms, and Privacy Policy, constitute the entire agreement between you and Growthmesh regarding the Services.
